A: ACCEPTANCE OF TERMS
1. These Terms and Conditions (“Terms”) govern your access to and use of the Binance Chat feature (“Chat”), operated by Binance (“we,” “us,” or “our”). By using Binance Chat Feature, you acknowledge and agree that you will be bound by and will comply with these Binance Chat Terms and Conditions (“Chat Terms”), as updated and amended from time to time. By accessing and/or using the Chat, you agree that you have read and understood these Chat Terms, together with any additional documents or terms referred to in these Chat Terms. If you do not understand and accept these Chat Terms in their entirety, you should not use the Chat Feature.
2. These Chat Terms are supplemental to and shall be read together with the Binance Terms of Use available here (“Terms of Use”) and the provisions set out in the Terms of Use shall continue to apply. All terms and clauses contained in the Terms of Use (except to the extent expressly modified herein) are incorporated by reference and have the same force and effect as if set out in their entirety in these Chat Terms. References in the Terms of Use to the Binance Services shall include references to the Chat Services contemplated hereunder. In the event of any conflict or inconsistency between these Chat Terms and the Terms of Use, these Chat Terms shall prevail with respect to the services contemplated hereunder, unless expressly stated otherwise.
3. Binance may make changes to these Chat Terms (or any terms or information incorporated by reference) at any time in accordance with the Terms of Use.
4. Users in selected territories and jurisdictions may have separate terms and conditions applicable to them, which will be published, incorporated and updated by us from time to time. We reserve the right to amend or modify any of the features and/or services available in the Chat Services, as necessary and appropriate, and at our sole discretion, to comply with the Applicable Law.
5. These Terms apply to all users of the Chat, including but not limited to Groups, chats, and any other chatroom features provided by Binance.
6. You represent that you are at least 18 years old or of legal age in your jurisdiction to form a binding contract.
7. If you use the Chat on behalf of an entity, you confirm you have authority to bind that entity to these Terms.
B. USER CONDUCT AND CONTENT
1. You agree to use the Chat only for lawful purposes and in compliance with these Terms.
2. You shall not post or transmit content that is unlawful, harmful, threatening, abusive, defamatory, obscene, invasive of privacy, hateful, fraudulent, or otherwise objectionable.
3. Prohibited conduct includes but is not limited to: impersonation, spam, malware distribution, unauthorized advertising, harassment, market manipulation, and sharing false or misleading information.
4. You are solely responsible for the content you post (“User Content”). By posting, you grant Binance a worldwide, royalty-free, sublicensable license to use, reproduce, modify, and display your User Content in connection with the Chat and Binance’s services.
5. You warrant that you have all rights necessary to post your User Content and that it does not infringe any third-party rights.
C. CHATROOM MANAGEMENT GUIDELINES
Binance is committed to fostering a safe, respectful, and harmonious community environment. The Chat is intended to facilitate constructive communication, knowledge sharing, and community growth.
Users are encouraged to engage in respectful, sincere, and meaningful interactions that promote mutual respect, collective learning, and a positive community atmosphere.
Content posted in the Chat should aim to promote user interaction, knowledge sharing, and the enhancement of the community atmosphere. Low-quality content, spam, or frequent advertisements that disrupt the community’s sustainable development are strictly prohibited.
Prohibited Behaviors:
All content and conduct within the Chat must comply with applicable laws, Binance’s Terms of Use, and these Guidelines. The following behaviors are strictly prohibited:
1. Illegal Content and Activities
a. Publishing, disseminating, or promoting content that violates any applicable laws, regulations, or policies, including but not limited to:
i. Radicalism, extremism, terrorism, or violent crimes;
i. Pornography, gambling, drug-related content, or other illegal activities;
ii. Content that incites hatred, racial discrimination, religious bias, or political intolerance.
2. False, Misleading, or Fraudulent Information
a. Spreading unverified, false, misleading, or defamatory statements, rumors, or deliberate smearing of individuals, projects, or entities.
b. Impersonating Binance staff, project teams, KOLs, partners, administrators, or other users with the intent to deceive.
c. Promoting fraudulent schemes, scams, Ponzi schemes, or any form of market manipulation.
d. Providing financial or investment advice
3. Privacy Violations and Unauthorized Disclosure
a. Sharing or soliciting personal, private, or confidential information of others without consent.
b. Phishing attempts or any conduct aimed at obtaining sensitive information such as wallet addresses, login credentials, or private keys.
4. Unauthorized Promotion and Solicitation
a. Promoting paid services, requesting payments, donations, or tips in a manner that constitutes solicitation or spam.
b. Redirecting users to external platforms, communities, or websites through unauthorized means, including but not limited to social media accounts (except Binance Square), suspicious websites, download links with profit motives, or red packet codes.
c. Recruiting users to “alternative small groups” or private communities without Binance’s explicit consent.
d. Offering or conducting fund management services
5. Disruptive and Malicious Conduct
a. Use of bots, scripts, or automated tools to spam, manipulate interactions, or disrupt the Chat.
b. Mass registration of accounts or dissemination of false event information.
c. Buying, selling, or exchanging chatroom accounts, usernames, nicknames, avatars, or profiles.
d. Posting QR codes or other content designed to circumvent Binance’s platform controls.
6. Intellectual Property and Brand Misuse
a. Unauthorized use of Binance’s logos, trademarks, official images, or any content that falsely implies affiliation or endorsement by Binance.
b. Using misleading nicknames or content that suggests official Binance status or cooperation.
7. Harassment, Abuse, and Inappropriate Content
a. Bullying, harassment, insults, abusive language, personal attacks, or invasion of privacy.
b. Posting pornographic, obscene, explicit, or borderline content.
c. Any conduct that disrupts the community atmosphere or causes distress to other users.
8. Spam and Advertising
a. Posting frequent irrelevant, duplicate, or unsolicited advertisements.
b. Using bots or scripts to send repetitive messages or spam.
D. USER CONTENT AND LICENSE
1. Unless agreed otherwise, and whether as a user permitted by us to post content or comments on the Platform or otherwise, you agree that:
a. All feedback, ideas, suggestions and/or proposals submitted by you to us, in relation to the Platform (which includes, but is not limited to, matters relating to the quality of the Platform service and the scope of its offerings) belong to us in their entirety, and we have full rights and entitlement to use the same for any purpose without an obligation to make any compensation to you (including implementing these feedback, ideas, suggestions and/or proposals for the purpose of improving the Platform service offerings).
b. If you submit, transmit, display, post, or store User Content using our Platform, you grant Binance and its sub-licensees an unrestricted, worldwide, irrevocable, fully sub-licenseable, nonexclusive, and royalty-free right to: (i) use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such piece of User Content (including without limitation for promoting and redistributing part or all of the Platform and derivative works thereof) in any form, format, media, or media channels now known or later developed or discovered; and (ii) use the name, identity, likeness, and voice (or other biographical information) that you submit in connection with such User Content. Should such User Content contain the name, identity, likeness, and voice (or other biographical information) of third parties, you represent and warrant that you have obtained the appropriate consents and/or licenses for your use of such features and that Binance and its sub-licensees are allowed to use them to the extent indicated in these Terms. Further, you also agree that other users of the Platform may (and we may allow these other users to) view, like and/or re-post your User Content on other platforms.
c. You will not take, or omit to take, any steps or conduct yourself in such a manner as to cause us to breach any third party intellectual property rights. Or cause us to be subject to any third party intellectual property rights infringement claims. Further, and upon our request at any time, you also agree to provide us with evidence to prove (to our sole and absolute satisfaction) that you have complied fully with these Terms. The Terms include but are not limited to your obligations under this clause.
d. You are solely responsible for your User Content and the consequences of posting, publishing or re-posting it. You represent and warrant that: (1) you are the creator or own or control all right in and to the User Content or otherwise have sufficient rights and authority to grant the rights granted herein; (2) your User Content (or your re-post of the same) does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any intellectual property rights, or (b) defame any other person. Binance reserves all rights and remedies against any users who breach these representations and warranties. To the fullest extent permitted by applicable law, you also agree to indemnify us and to hold us harmless from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses and damages (including attorneys’ fees, fines or penalties imposed by any regulatory authority) arising out of or related to your use of, or conduct in connection with, your access to and use of the Platform. For clarity, our right of indemnification under this clause: (1) is in addition to the rights and protections afforded to us under these Terms and any other applicable Policies or terms that are binding between the parties; and (2) includes a right to be fully indemnified against any third party claims that may arise in respect of and in connection with User Content submitted by you or your conduct generally (including re-posting User Content to other platforms), such as but not limited to claims relating to infringement of third party intellectual property rights.
e. By posting content on Chat, you acknowledge and agree that any content you upload may be shared with Binance and with other users of Binance Square. Binance reserves the right to process, store and display your content as necessary to provide and improve the services. If you choose to make your trade data or positions public, you acknowledge that this will be available to other users of the platform, and that Binance cannot control how this is viewed, shared or used by others. If your uploaded content includes personal data, it will be processed according to applicable data privacy laws including the General Data Protection Regulation. Please ensure that your content and representations comply with all applicable laws and avoid sharing sensitive personal information. E. MODERATION AND REMOVAL
1. Binance reserves the right to monitor, edit, remove, or block any User Content or restrict access to the Chat at its sole discretion, without prior notice.
2. Binance may suspend or terminate your access to the Chat for violations of these Terms or for violations of these Terms or Guidelines or any conduct deemed harmful to the community or Binance’s interests.
3. Binance is not obligated to provide prior warning or justification for enforcement actions.
F. PRIVACY
1. Your use of the Chat is subject to Binance’s Privacy Policy, which explains how we collect, use, and protect your personal information.
2. You should avoid sharing sensitive personal information in the Chat, as User Content may be visible to other users and may be shared or reposted.
G. DISCLAIMERS AND LIMITATION OF LIABILITY
1. The Chat is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
2. Binance does not guarantee the accuracy, completeness, or usefulness of any User Content or communications.
3. Binance shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Chat, including but not limited to loss of profits, data, or goodwill.
H. COMPLIANCE WITH LAWS
1. You agree to comply with all applicable laws, rules and regulations regarding the User Content and your use of the Platform. You represent and warrant that you have all such licenses, registrations, and approvals to post User Content on the Platform (if applicable).
I. EXCLUSION OF LIABILITY
1. Binance takes no responsibility and assumes no liability for any User Content or your access to and use of the Platform, or for any loss or damage resulting therefrom, nor is Binance liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography, or profanity you may encounter when using (or after you have used) the Platform. Your use of the Platform (including for the purpose of posting your content, if permitted by us to do so) is at your own risk. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that the Platform will not contain any content that is prohibited by such rules. For clarity, you also agree that while we will implement reasonable measures to ensure that User Content made available by or to you through the Platform are not subject to unauthorized copying, use or redistribution by other third parties, or that they comply with the requirements as set out in these Terms, the Community Guidelines and the Policies, we do not guarantee the same, and we shall not be liable for any losses or damage that may be caused to you, in the event of such an eventuality. You also acknowledge and agree to all the relevant disclaimers and risk warnings, insofar as they relate to the Platform and your access or usage of the same.
2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BINANCE BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE), OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE PLATFORM INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE ON ANY INFORMATION OBTAINED FROM BINANCE OR THE PLATFORM, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION, OR UNAUTHORIZED ACCESS TO THE PLATFORM OR BINANCE’s RECORDS, PROGRAMS, OR SERVICES.
J. COPYRIGHT POLICY
1. Binance respects the intellectual property of others. If you are the copyright owner or agent thereof and believe that content posted on the Platform infringes upon your copyright, please submit a notice to legal@binance.com by providing the following information:
a. Identification of the copyright that is claimed to be infringed;
b. Identification of the allegedly infringing material that is requested to be removed, including a description of where it is located;
c. Information for us to contact you, such email address and telephone number;
d. Explanation and supporting documents to support your claim that the infringing use is not authorized by the copyright owners, its agent or the law;
e. A statement that the information provided is accurate and that you are the copyright owner or the authorized person to act on behalf of the copyright owner.
K. TRADEMARKS
1. BINANCE, the BINANCE logos, and any other product or service name, logo, or slogan used by Binance (including but not limited to those relating to the Platform), may not be used in whole or in part in connection with any product or service that is not Binance’s, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Binance, without our prior written permission.
L. GENERAL
1. You shall be bound by all the terms set out in the Binance Terms of Use and Binance Privacy Notice, which shall be read together with and supplemental to these Terms. Accordingly, the rights and protections afforded to us under the Binance Terms of Use and Binance Privacy Notice shall equally apply and be additional to the rights and protections afforded to us under these Terms. For clarity, the Section in the Binance Terms of Use titled “Resolving Disputes: Forum, Arbitration, Class Action Waiver” shall apply in its entirety to your access to and use of the Platform, as if the same were expressly set out in these Terms.
2. These Terms written in the English language may be translated into other languages. In the event of any conflict between this English language version and other translated versions of these Terms, this English language version shall prevail.
M. GROUP SUBSCRIPTION FEATURE TERMS AND CONDITIONS
1. Free Trial and Payment Terms
a. Users can utilize the Group Subscription Feature (“Group Subscription”) that allows users to join certain chat groups managed by group owners (“Group Owners”).
b. Users who join a subscription group will receive a seven (7) day free trial period (“Trial Period”) starting from the date of entry into the group.
c. At the end of the Trial Period (T+7 days), the monthly subscription fee will be automatically charged to the user’s account, in order to be paid directly to the Group Owner.
d. The subscription will continue until the user cancels the subscription. For subscriptions where such auto-renewal feature is not available or is disabled, the subscription will be canceled if the user does not renew at the end of the subscription period. If the user's account balance does not have sufficient funds to cover the subscription fee, the subscription will be canceled. Binance acts solely as a platform provider and does not act as an intermediary or escrow agent for subscription payments.
2. Asset Verification Requirement
a. Prior to joining a subscription group, users will undergo a simple asset verification process to confirm that their asset holdings meet or exceed the minimum threshold required for the group subscription fee.
b. Users whose assets do not meet the minimum required amount will be denied access to the subscription group.
3. Refund Policy
a. Users acknowledge and agree that no refund requests will be accepted after the Trial Period ends and the subscription fee has been charged.
b. At the time of payment, users will be required to explicitly confirm their acceptance of this no-refund policy by checking a confirmation box (“☑️ I agree to the Terms and Conditions”).
4. Trial Period Limitation
a. Each user is entitled to only one (1) free Trial Period per subscription group. Users who have previously used the free trial for a particular group are not eligible for additional free trials for the same group.
5. Additional Terms
a. Users remain subject to all other provisions of these Terms and Conditions, including but not limited to the Chatroom Management Guidelines, user conduct rules, and Binance’s general Terms of Use.
b. Binance reserves the right to modify, suspend, or terminate the Group Subscription Feature or any part thereof at any time without prior notice.
N. CHAT TRANSFER
1. The One-to-One Chat Transfer Feature (“Chat Transfer”) allows users to transfer an ongoing private chat session to another designated user or representative within the Binance platform.
2. By initiating or accepting a Chat Transfer, both parties acknowledge and consent to the transfer of the chat session, including all messages, shared content, and any personal information exchanged during the conversation.
3. Users must ensure that the recipient of the Chat Transfer is authorized and appropriate to receive the transferred information.
4. Privacy and Confidentiality
a. Users are responsible for maintaining the confidentiality of any sensitive or personal information shared during the chat session.
5. Limitations and Liability
a. Binance provides the Chat Transfer feature “as is” and does not guarantee uninterrupted or error-free transfers.
b. Binance shall not be liable for any loss, damage, or unauthorized disclosure resulting from the use of the Chat Transfer feature.
6. Prohibited Uses
a. Users shall not use the Chat Transfer feature to transfer chats containing illegal, harmful, or prohibited content as defined in these Terms and the Chatroom Management Guidelines.
b. Unauthorized transfer of chats to third parties outside the Binance platform or to unauthorized individuals is strictly prohibited.
