American Bitcoin (ABTC), the Bitcoin mining company backed by U.S. President Donald Trump's sons, is facing one of its most challenging periods since going public. Its shares have fallen to a new all-time low, prompting management to take a significant step aimed at preventing the company from being delisted from the Nasdaq stock exchange.
The company announced a 1-for-15 reverse stock split, a measure often used by publicly traded firms to increase their share price and maintain compliance with a stock exchange's minimum listing requirements.
Shares Have Lost More Than 90% of Their Value
American Bitcoin confirmed that the reverse split will take effect after the market closes, with trading on the adjusted share structure beginning the following trading day. The company's ticker symbol, ABTC, will remain unchanged.
Under the reverse split, every fifteen existing shares will be consolidated into a single new share. As a result, the total number of outstanding shares will fall from more than one billion to approximately 73 million.
The announcement did little to reassure investors. During Wednesday's session, ABTC shares dropped to a record low of around $0.62, marking another sharp decline. Although the stock recovered slightly in after-hours trading, the overall picture remains highly negative.
Since the beginning of the year, American Bitcoin shares have fallen by more than 63%, and they have lost over 90% of their value since the company began trading on Nasdaq.
Why Is the Company Carrying Out a Reverse Split?
The primary objective is to remain compliant with Nasdaq's listing requirements.
Companies whose shares trade below $1 for an extended period risk being delisted from the exchange. While a reverse stock split does not increase a company's actual value or improve its fundamentals, it mechanically raises the share price, allowing the company to meet Nasdaq's minimum bid requirement.
For this reason, reverse splits are often viewed negatively by investors, as they frequently signal financial stress or prolonged weakness in a company's market performance.
The Trump Family Remains Behind the Project
American Bitcoin was launched last year by Donald Trump Jr., Eric Trump, and Bitcoin mining company Hut 8.
The company later merged with Gryphon Digital Mining, enabling it to become publicly traded on Nasdaq. Following the transaction, the Trump family and Hut 8 collectively owned approximately 98% of the newly formed company.
The project quickly became one of the highest-profile publicly traded cryptocurrency companies associated with the Trump family.
Weak Crypto Market Adds More Pressure
The broader cryptocurrency market has also weighed heavily on the company's performance.
Bitcoin is currently trading near $60,000, well below its all-time highs. Lower cryptocurrency prices directly impact Bitcoin mining companies, whose revenues depend heavily on the value of the digital asset.
American Bitcoin also reported a first-quarter net loss exceeding $81 million, further weakening investor confidence.
Not an Isolated Case
American Bitcoin is not the only cryptocurrency company forced to resort to a reverse stock split.
Earlier this year, Nakamoto implemented a 1-for-40 reverse split in an effort to maintain its Nasdaq listing after its share price collapsed.
The situation surrounding American Bitcoin highlights that even the high-profile backing of the Trump family has not been enough to shield the company from the realities of the ongoing crypto bear market. Whether the company can regain investor confidence will largely depend on future financial performance and the next major move in Bitcoin's price.
