MSCI’s latest consultation proposes a sweeping change: removing from its Global Investable Market Indexes any company whose digital asset holdings exceed 50% of total assets. Strategy is calling the plan a fundamental misstep.
In a detailed letter dated December 10 and signed by Executive Chairman Michael Saylor and CEO Phong Le, the company warns that the proposal is “misguided” and risks inflicting “profoundly harmful consequences” on capital formation, technological innovation, and U.S. leadership in the digital-asset economy.
“Digital Asset Treasuries Are Operating Businesses—not Funds”

Strategy’s position centers on a simple distinction: digital asset treasury companies are active operators, not passive investment vehicles. The firm argues that its model is not about holding Bitcoin idly, but about actively managing a Bitcoin-backed corporate treasury.

Through its capital markets program, Strategy issues equity and debt instruments that provide investors with tailored levels of Bitcoin exposure—much like banks and insurers that earn a spread on the assets they finance.
The company notes that numerous traditional industries—oil majors, timber groups, REITs, media conglomerates—operate with balance sheets dominated by a single asset class. None are treated as investment funds, and none face index exclusion. Applying different standards to digital-asset-heavy balance sheets, Strategy says, would be inconsistent and discriminatory.
A Threshold That Breaks Index Stability

The proposed 50% threshold is, according to Strategy, both arbitrary and impossible to administer. Crypto market volatility and differences between accounting frameworks (such as GAAP versus IFRS) mean companies could “whipsaw on and off” MSCI’s indexes as values fluctuate. Such instability, the letter argues, would erode investor trust and undermine the reliability of the benchmarks themselves.
Strategy further warns that by policing business models and balance sheet composition, MSCI would be moving beyond its mandate as a neutral index provider. The role of index construction, the company emphasizes, is to reflect the market—not to judge emerging economic sectors as favorable or unfavorable.
Misalignment with U.S. Digital Asset Policy—and Long-Term Risk to Competitiveness

The company also highlights a broader geopolitical concern. The proposal, it says, runs directly counter to ongoing U.S. initiatives aimed at strengthening digital asset innovation, including federal support for a Strategic Bitcoin Reserve and broader access to digital assets in retirement portfolios.
Blocking digital asset treasury companies from key benchmarks would restrict access to passive capital, slow sector innovation, and weaken U.S. competitiveness in a strategically important domain.
Call for a Reset—and a Longer Review

Strategy concludes that MSCI should abandon the exclusion proposal entirely. At minimum, it argues, MSCI should extend the consultation period and conduct a more comprehensive review as the digital asset treasury model continues to evolve.
“The wiser course,” the letter states, “is for MSCI to remain neutral and let the markets determine the trajectory of DATs.”
