Coinbase received conditional approval from the Office of the Comptroller of the Currency (OCC) to create Coinbase National Trust Company, providing the exchange with a federal regulatory basis for its custody business.

The OCC's charter is designed for custody assets, not for commercial banking activities. Coinbase will not accept retail deposits or engage in fractional reserve banking under this framework.

What does the OCC's charter mean for Coinbase?

The approval focuses on Coinbase's current custody operations and market infrastructure. Federal oversight through the OCC replaces the system of state regulations that previously governed those services.

Greg Tusar, Co-CEO of Coinbase Institutional, explained the scope directly in a company statement.

"This letter aims to bring federal regulatory uniformity to the custody business and market infrastructure that we have been building for years," said an excerpt from the announcement, quoting Tusar.

The conditional approval means that Coinbase must meet certain specific requirements of the OCC before the letter is fully active. The exchange confirmed that it will work closely with OCC staff during this process.

The BitLicense granted in 2015 to the exchange by the New York Department of Financial Services (NYDFS) and its current state Trust letter remain in effect. Coinbase, Inc. continues to operate under the supervision of the NYDFS without changes.

The federal letter also creates a foundation for new payment products and related financial services. Tusar mentioned that institutional partners and individual clients will be the main beneficiaries of this new capability.

Congress has made progress on legislation regarding market structure, but federal oversight for crypto asset custodians remained fragmented. The OCC's approval addresses that need at the institutional level without waiting for comprehensive legislation.

In the coming weeks, it will be seen how quickly the exchange can meet the conditions of the OCC and whether other large exchanges will seek similar federal letters.
