Context Currently, the DAO operates as a decentralized organization with token management and treasury management via smart contracts. However, to enable: Integration with Stripe, Procurement of services and formal partnerships, Opening a corporate bank account, Tax and legal compliance in the USA, a registered legal entity is required. The proposed structure is an LLC (Limited Liability Company) in Delaware, a state internationally recognized for its modern legislation that favors technology companies and Web3 startups. Proposal Objectives Form the company "INDECENT FANS DAO LLC" in the state of Delaware. Designate the founding team as "Managers" of the LLC until the DAO elects new representatives. Open a bank account and Stripe account in the LLC's name. Formalize the relationship between the DAO and the LLC via an Operating Agreement and Resolution on Governance. Register the Employer Identification Number (EIN) with the IRS. Enable the LLC to: Receive fiat payments (card, bank, Stripe). Make payments to content creators and affiliates. Represent the DAO in contracts with partners. Comply with tax and compliance obligations in the US.
